Affiliate Marketing Agreement
This Affiliate Marketing Agreement (the "Agreement") is entered into by and between PACKORA LLC, with its principal place of business at 1309 Coffeen Avenue, STE 17700, Sheridan, Wyoming 82801, USA ("Company," "Network," or "PACKORA"), and the individual or entity registering as an affiliate ("Affiliate" or "Publisher").
By joining the PACKORA affiliate network and accessing our platform, you agree to comply with the terms and conditions set forth in this Agreement.
1. Definitions
For the purpose of this Agreement, the following terms shall have the meanings set out below:
- 1.1 Agreement – Refers to this contract governing the relationship between PACKORA LLC and the Affiliate.
- 1.2 Affiliate / Publisher – Any individual, company, or entity that promotes PACKORA campaigns and services in exchange for compensation.
- 1.3 Offer / Campaign – Products or services listed by PACKORA for promotion by Affiliates through approved marketing channels.
- 1.4 Conversion / Lead – A qualified action generated through Affiliate's promotional efforts (e.g., sale, registration, or other desired action), as defined by each specific Offer.
- 1.5 Cap / Limitations – The maximum number of conversions or sales allowed per Offer or per Affiliate, as determined by PACKORA.
- 1.6 Device – Any device (mobile, tablet, desktop, etc.) permitted for campaign promotion.
- 1.7 Territorial Restrictions – Specific countries or regions where campaigns cannot be promoted. Conversions generated in restricted regions may be declared invalid.
- 1.8 Pending Balance – Earnings that remain under review until verified and approved by PACKORA.
- 1.9 Approved Balance – Validated commissions available for invoicing and payment to the Affiliate.
2. Compensation and Payments
- Commissions will be determined based on the terms of each Offer and the number of valid Conversions generated.
- Commission rates and payment conditions are displayed on the PACKORA affiliate platform.
- PACKORA reserves the right to update commission structures, caps, or payout terms by providing notice to the Affiliate. Such updates will not apply retroactively to already confirmed earnings.
- Payments will only be made for validated and approved Conversions. Fraudulent, duplicated, or invalid traffic will not be compensated.
3. Affiliate Obligations
The Affiliate agrees to:
- Promote PACKORA campaigns only through authorized methods.
- Avoid publishing or distributing any content that is illegal, offensive, misleading, discriminatory, defamatory, or otherwise harmful.
- Respect intellectual property rights of PACKORA and third parties.
- Refrain from generating fraudulent or incentivized traffic.
- Immediately cease any practice deemed non-compliant by PACKORA.
PACKORA reserves the right to suspend or withhold payments if fraudulent, prohibited, or suspicious activity is detected.
4. Term and Termination
- This Agreement begins upon the Affiliate's account registration and acceptance into the PACKORA network.
- Either party may terminate this Agreement at any time, with or without cause, by written notice.
- Upon termination, the Affiliate must discontinue use of PACKORA's platform, offers, and materials, and delete or return any confidential information.
5. Confidentiality
Both parties agree to keep all non-public information received during the term of this Agreement confidential and not disclose it to any third party without prior written consent, except as required by law. This obligation shall survive termination of the Agreement.
6. Indemnification
- The Affiliate agrees to indemnify and hold harmless PACKORA LLC, its officers, employees, and partners from any claims, damages, or expenses arising from Affiliate's violation of this Agreement, negligence, or breach of applicable law.
- PACKORA LLC likewise agrees to indemnify the Affiliate against claims resulting directly from PACKORA's breach of this Agreement or unlawful conduct.
7. Limitation of Liability
- Neither party shall be liable for indirect, incidental, consequential, or special damages, including lost profits, arising from this Agreement.
- The maximum liability of either party shall not exceed the total commissions paid or payable to the Affiliate during the three (3) months preceding the event giving rise to the claim.
8. Data Protection & Privacy
- Both parties shall comply with all applicable data protection and privacy laws, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
- Each party must implement reasonable security measures to protect personal data from unauthorized access, loss, or misuse.
9. Force Majeure
Neither party shall be held liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, strikes, governmental actions, or internet outages.
10. Miscellaneous
- This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or discussions.
- This Agreement shall be governed by and interpreted under the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.
- Any modification or waiver must be made in writing and signed by both parties.
- The Agreement may be executed electronically, and electronic acceptance shall be deemed valid and binding.
- Nothing in this Agreement creates a partnership, joint venture, or agency relationship between the parties.
11. Acceptance
By checking the box "I Accept the Affiliate Agreement" during registration, the Affiliate confirms that they have read, understood, and agreed to be bound by the terms of this Agreement.
